Client Agreement and Terms of Service

This agreement is written to be read — not filed away. Before we work together, we want you to know exactly what you're getting, what we're committing to, and what we're asking of you. The sections below cover the legal terms that protect both of us. If you have any questions before purchasing, reach out at hello@peaxadigital.com — we're happy to walk through anything.

This Client Agreement ("Agreement") constitutes a legally binding agreement between Peaxa Digital LLC ("Peaxa," "we," "us," or "our") and the individual or entity ("Client," "you," or "your") accessing our website at peaxadigital.com or completing a purchase through our checkout. By using our website or completing a purchase, you agree to be bound by this Agreement.

1. Our Services

Peaxa Digital provides digital marketing services designed for local service businesses and purpose-driven organizations. Our core offering is the Organic Growth Bundle, which includes: Search Engine Optimization (SEO): Long-term local SEO strategies to help your business rank in your market. Content Strategy & Creation: Monthly blog articles written and published to your website to build authority and support search rankings. Google Business Profile Management: Weekly posts, photo updates, and Q&A management to strengthen your local search presence. Social Media: Original monthly social posts with licensed imagery to keep your business visible in your community. Specific deliverables, fees, and service terms for the Organic Growth Bundle are detailed in Section 15 of this Agreement.

2. Philosophy of Service

Peaxa operates on a model of long-term partnership and sustainable growth. Digital marketing is subject to external factors — including search engine algorithm updates and platform policy changes — that are outside our control. We focus on clarity and transparency rather than quick wins or guaranteed rankings. We are the guide; your business is the story.

3. Client Responsibilities

To provide effective services, Peaxa requires your cooperation. You agree to: Provide timely access to necessary accounts (Google Business Profile, website CMS, social media, etc.).Ensure all information provided about your business is accurate and up to date. Review and respond to deliverables in a timely manner to maintain service schedules.

4. Fees and Payment

Service Agreements: Specific pricing and billing cycles are outlined in Section 15 (Organic Growth Bundle Service Agreement) of this Agreement. Payment Terms: Invoices are due upon receipt unless otherwise specified in Section 15. Late Payments: Failure to pay may result in suspension of services. Full terms for non-payment are outlined in Section 15.2.

5. Intellectual Property

Client Content: You retain all rights to any trademarks, logos, and proprietary information you provide to Peaxa. Deliverables: Upon full payment of all fees, Peaxa grants you ownership of final deliverables (e.g., written content, published articles) created specifically for you, subject to any third-party licenses (e.g., stock photos, software plugins). Full ownership terms for Bundle deliverables are detailed in Section 15.8. Peaxa Property: We retain ownership of our internal processes, proprietary methodologies, templates, and any pre-existing tools or code used to perform services.

6. Disclaimers and Professional Limits

As Is: Our website, services, and deliverables are provided on an "as is" and "as available" basis. No Guarantees: Peaxa does not guarantee specific ranking positions on search engines, specific ad outcomes, or specific conversion rates. SEO and advertising performance may fluctuate due to factors outside our control, including third-party algorithm changes, platform policy changes, auction dynamics, and competitor activity. Third-Party Platforms: We are not responsible for changes made by Google, Meta, or other platforms that may impact performance.

7. Healthcare & Practice Compliance

For clients in the healthcare sector (dentists, physicians, veterinarians): HIPAA Compliance: While we implement tools to help capture leads, the Client is ultimately responsible for ensuring their internal handling of Protected Health Information (PHI) complies with HIPAA regulations. Client Responsibility for Integrated Tools: If Peaxa integrates or helps configure third-party tools (including CRMs, form tools, call tracking, email/SMS tools, automation, or analytics), the Client is solely responsible for determining whether and how those tools are used in a HIPAA-compliant manner — including selecting HIPAA-compliant vendors, configuring access controls, executing required Business Associate Agreements (BAAs), and establishing internal policies for staff use. Peaxa does not provide legal or compliance advice.

8. Limitation of Liability

To the maximum extent permitted by law, Peaxa Digital shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising out of or related to the services provided. Our total liability shall not exceed the amount paid by the Client to Peaxa during the three (3) months preceding the claim.

9. Term and Termination

Termination terms specific to the Organic Growth Bundle — including the six-month commitment period, early termination fees, and post-commitment cancellation — are governed by Section 15 of this Agreement. Either party may terminate the relationship according to the notice requirements specified in Section 15.4. Upon termination, Peaxa will provide the Client with access to all transition materials, provided all outstanding invoices have been settled in full.

10. Privacy

Your use of our website and services is also governed by our Privacy Policy, which can be found at peaxadigital.com/privacy-policy.

11. Indemnification

You agree to defend, indemnify, and hold harmless Peaxa Digital and its owners, employees, contractors, and agents from and against any and all claims, demands, suits, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your content, materials, instructions, or data you provide to Peaxa; (b) your misuse of our website or services; (c) your violation of applicable laws, rules, or regulations; or (d) your breach of this Agreement. Peaxa may assume the defense of any matter subject to indemnification at your expense, and you agree to cooperate as reasonably requested.

12. Relationship of Terms

Section 15 of this Agreement governs the specific services and fees for the Organic Growth Bundle. If there is any conflict between the general terms of this Agreement and Section 15, Section 15 controls to the extent of the conflict.

13. Governing Law; Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Hamilton County, Indiana.

14. Changes to This Agreement

Peaxa Digital reserves the right to modify this Agreement at any time. We will notify active clients of significant changes via email. Continued use of our services after such changes constitutes acceptance of the updated Agreement. Changes to pricing or service scope for active Bundle clients are governed by Section 15.10.

15. Organic Growth Bundle — Service Agreement

This section constitutes the Service Agreement referenced in Section 12 and applies specifically to clients who have purchased the Organic Growth Bundle ("Bundle"). By purchasing the Bundle through our checkout, you confirm that you have read, understood, and agreed to these terms in addition to the general terms above. Electronic Acceptance. By checking the terms acceptance box at checkout, you acknowledge that you are entering into a legally binding agreement with Peaxa Digital LLC and that your electronic acceptance constitutes a valid signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq., and applicable Indiana law. This agreement is enforceable to the same extent as a written, physically signed contract.

15.1 Scope of Services

The Organic Growth Bundle is a monthly recurring service that includes the following deliverables: Search Engine Optimization (SEO): Tracking and monthly optimization of up to 10 target keywords for your local market. Content Strategy & Creation: One (1) blog article written and published to your website per month, designed to support SEO and build authority in your market. Social Media: Four (4) original social media posts per month, including licensed imagery, scheduled for publication on your designated platforms. Google Business Profile (GBP) Management: Weekly posts, photo updates, and Q&A management on your Google Business Profile. Monthly Reporting: A performance report covering all four services, delivered at the end of each billing cycle. Onboarding: A dedicated onboarding call and account setup, covered by the one-time setup fee. Services are delivered on a monthly cycle beginning after onboarding is complete. Peaxa Digital reserves the right to adjust the specific tactics used within each service area as best practices evolve, provided the overall scope and deliverable count remain consistent. Any material reduction in scope will be communicated in writing with a minimum of thirty (30) days' notice. Additional Services. The Bundle covers only the services listed above. Any additional services — including managing additional business locations, increased content volume, paid advertising management, or website development — require a separate written agreement and additional fees. Requests for additional services do not automatically expand the scope of this Agreement.

15.2 Fees and Billing

The Bundle is billed as follows:Monthly Fee: $1,495 per month, billed automatically via Stripe on a recurring basis on the same date each month. One-Time Setup Fee: $499, charged at the time of initial purchase. This fee covers account setup, onboarding, and initial research. It is non-refundable under all circumstances .Reactivation Fee: If a client who has previously terminated services wishes to re-engage the Bundle more than six (6) months after termination, the one-time setup fee of $499 will apply again as a reactivation fee prior to services resuming.All fees are charged in U.S. dollars. By purchasing the Bundle, you authorize Peaxa Digital to charge your payment method on file on a recurring monthly basis until the engagement is terminated in accordance with Section 15.4. Failed Payments. If a scheduled payment fails for any reason, Peaxa Digital will notify you via email within two (2) business days. You will have five (5) business days from that notification to resolve the payment. If payment is not received within that window, Peaxa Digital reserves the right to suspend active service delivery until the outstanding balance is paid in full. Suspension of services due to non-payment does not pause, shorten, or otherwise modify the Commitment Period — billing continues to accrue during any suspension. If payment remains outstanding for thirty (30) days after the original due date, Peaxa Digital may terminate the engagement and the full remaining balance of the Commitment Period becomes immediately due.

15.3 Minimum Commitment

The Organic Growth Bundle requires a minimum commitment of six (6) consecutive months ("Commitment Period"). This minimum exists because meaningful, measurable results from SEO, content, and local search optimization require sustained effort over time. Month-to-month cancellation is not available during the Commitment Period.If you terminate the Bundle before the end of the six-month Commitment Period for any reason — including but not limited to dissatisfaction with results, change in business direction, sale of the business, or financial hardship — the remaining monthly fees for the balance of the Commitment Period become immediately due and payable in full. For example, if you cancel after month two (2), the fees for months three through six ($1,495 × 4 = $5,980) are owed upon termination. Peaxa Digital reserves the right to pursue collection of these amounts through all available legal means.Pausing the Bundle is not permitted during the Commitment Period. Services will continue and fees will continue to accrue regardless of whether the Client is actively participating, providing content, or responding to communications.

15.4 Termination After Commitment Period

After the six-month Commitment Period is complete, the Bundle continues on a month-to-month basis. Either party may terminate the engagement by providing thirty (30) days' written notice via email to hello@peaxadigital.com. Notice Effectiveness. Termination notice is only effective upon written confirmation of receipt from Peaxa Digital. If you do not receive a confirmation within two (2) business days of sending your notice, you must follow up to ensure delivery. The notice period begins on the date Peaxa Digital confirms receipt, not the date the email was sent.The final invoice will cover all services rendered and fees accrued during the notice period. Upon termination and settlement of all outstanding invoices, Peaxa Digital will provide the Client with all transition materials — including reports, published content files, and account access instructions — within ten (10) business days.

15.5 Peaxa Digital's Right to Terminate

Peaxa Digital reserves the right to terminate this Agreement at any time, with or without cause, by providing thirty (30) days' written notice to the Client. In the event Peaxa Digital initiates termination without cause, you will not be held liable for the remaining Commitment Period fees, and a pro-rated refund of any prepaid fees for undelivered services will be issued within fifteen (15) business days. Peaxa Digital may terminate this Agreement immediately and without notice in the event of any of the following:Harassment, abuse, or threatening behavior directed at any Peaxa Digital employee, contractor, or representative.Client requests that Peaxa create, publish, or distribute content that is false, defamatory, discriminatory, or in violation of applicable law.Sustained unresponsiveness — defined as sixty (60) or more consecutive days without a response to communications from Peaxa Digital — that materially prevents service delivery.Non-payment as described in Section 15.2.Any material breach of this Agreement that remains uncured fifteen (15) days after written notice of the breach.In the event of immediate termination for cause by Peaxa Digital, all outstanding fees — including remaining Commitment Period fees where applicable — remain due and payable.

15.6 Client Responsibilities and Access

To deliver the Bundle effectively, Peaxa Digital requires the following from you:Administrative access to your Google Business Profile.Access to your website's content management system (CMS) for blog publishing, or a designated point of contact who can publish on your behalf within two (2) business days of content submission.Access to your social media accounts, or a designated administrator who can schedule and post on your behalf.Timely responses to onboarding materials, intake forms, and content questionnaires.Accurate and up-to-date business information (hours, services, service areas, contact details, etc.).Failure to provide required access within fourteen (14) days of request may delay the start of services. Delays caused by the Client's failure to provide access or information do not pause billing, shorten the Commitment Period, or entitle the Client to a refund or service credit.

15.7 Content Approval

Peaxa Digital will submit blog articles and social media posts for your review prior to publication. You agree to review and respond to content submissions within five (5) business days of delivery. If no response is received within that window, Peaxa Digital will send one (1) follow-up notification. If no response is received within three (3) additional business days of the follow-up, the content submission will be held and rescheduled to the following month's cycle.Peaxa Digital will not publish content without Client approval. However, if a pattern of non-response results in consistent delivery delays, Peaxa Digital reserves the right to treat the affected month as fulfilled for billing purposes, as the delay was caused by the Client's failure to respond rather than a failure of service delivery on Peaxa Digital's part.You retain final approval authority over all content. Up to two (2) rounds of revisions per deliverable are included. Requests that require a fundamental change in direction or fall outside the agreed scope may result in adjusted timelines or additional fees quoted in advance.

15.8 Ownership of Deliverables

Upon full payment of all fees owed, the following ownership applies to Bundle deliverables: Blog Content: Written articles created specifically for your business become your property upon payment of the month in which they were delivered. Social Media Content: Original copy and graphics created for your accounts become your property upon payment of the month in which they were delivered. Google Business Profile: All posts, updates, and optimizations made to your Google Business Profile are made directly to your account and remain accessible to you upon termination. SEO Improvements: Technical and on-page SEO improvements made to your website remain on your website upon termination. Reports and Data: Monthly performance reports are yours to keep and will be provided in full upon termination.Peaxa Digital retains ownership of its internal processes, methodologies, templates, and tools. Third-party licenses (e.g., stock photography, software subscriptions) paid for by Peaxa Digital as part of the Bundle do not transfer to the Client upon termination unless separately agreed in writing.

15.9 No Guarantees

Peaxa Digital does not guarantee specific search engine rankings, Google Maps placement, website traffic levels, lead volume, conversion rates, or any specific business outcome. SEO and local search visibility are influenced by factors outside Peaxa Digital's control, including search engine algorithm updates, competitor activity, and changes to Google's platforms and policies. No representation made during the sales process, on our website, or in marketing materials constitutes a guarantee of specific outcomes.

15.10 Price Adjustments

Peaxa Digital reserves the right to adjust the monthly Bundle fee with a minimum of sixty (60) days' written notice delivered to the email address on file. If you do not wish to continue at the adjusted rate, you may terminate the engagement with thirty (30) days' written notice following the price adjustment notification, provided your Commitment Period has been fulfilled. Price adjustments do not apply retroactively to the current Commitment Period.

15.11 Dispute Resolution and Governing Law

This Agreement is governed by the laws of the State of Indiana. Any dispute arising out of or related to this Agreement shall be resolved in the state or federal courts located in Hamilton County, Indiana. You consent to personal jurisdiction in Hamilton County, Indiana for all disputes arising under this Agreement. Before initiating any legal action, both parties agree to make a good-faith effort to resolve the dispute informally within fourteen (14) days of written notice.

15.12 Entire Agreement

This Agreement — including Section 15 — constitutes the entire agreement between Peaxa Digital and the Client with respect to the Organic Growth Bundle. It supersedes any prior discussions, proposals, representations, or understandings, whether written or oral. In the event of any conflict between Section 15 and the general terms above, Section 15 controls with respect to the Bundle.
